These terms apply to the use of https://sourc.co and to every sourcing engagement with us. Our services are for businesses only: companies, sole traders and other professionals acting for business purposes ("client"). If you are a consumer, contact us first. Any engagement would then be agreed separately, and your mandatory consumer rights would apply.

What we agree in writing for a specific engagement (offer, service agreement, NDA) takes precedence over these terms. The client's own general terms apply only if we accept them in writing.

2. Using the website

  • Information on the site, including fees, timelines and examples, is general. It is not a binding offer and doesn't replace a written quote.
  • Texts, graphics, logos and guides on the site belong to us or our licensors. You may read, share links to and print them for your own business use, but not copy, resell or republish them without our permission.
  • Don't misuse the site: no automated scraping, no attempts to break its security, no false or third-party data in our forms.
  • We aren't responsible for the content of external websites we link to.

3. How an engagement is agreed

An inquiry through the site, email or WhatsApp is not yet an order. After reviewing it we send a written offer by email. It sets out the scope, our fee, the payment model and any third-party costs we already know. The contract is concluded when you accept that offer in writing (email is enough) or when we both sign a service agreement.

Depending on the offer, our services can include finding and verifying suppliers, negotiating price and terms, organising samples, overseeing production, arranging quality inspections, and helping with freight and customs. We are not the manufacturer of the goods.

4. Fees and payment

  • Our fee is a percentage of order value, usually 5–10%, fixed in the offer before you commit. It doesn't change afterwards unless the scope changes and we agree the change in writing.
  • Payment models: in the transparent model you pay the factory directly and we invoice our fee separately. In the all-in-one model you make one payment to us, and we pay the factory and organise the rest as agreed in the offer.
  • Factory payments usually follow a deposit plus balance schedule (typically 30% deposit and 70% after an approved inspection). The exact schedule is in the offer.
  • Third-party costs (samples, tooling, inspections, freight, insurance, customs duties, import VAT, bank fees) are payable on top unless the offer includes them. Duties and freight rates are set by third parties and can change before the goods arrive.
  • Prices are in EUR and exclude VAT, which is charged as required by law (reverse charge for EU business clients with a valid VAT ID).
  • Invoices are due by the date stated on them. Late payments incur statutory default interest.

5. Repeat orders with suppliers we introduced

Finding and vetting a factory is the core of our work. If you order again, directly or through someone else, from a supplier we introduced, our agreed fee applies to those orders too, unless the service agreement says otherwise. Please don't contact suppliers we introduced to go around us.

6. Your responsibilities

  • Give us accurate and complete specifications, quantities and target prices, and tell us about changes promptly.
  • Approve samples, drawings and decisions and make agreed payments on time. Delays on your side move the timeline.
  • As the importer or the business placing the goods on the EU market, you are responsible for their legal compliance. That covers CE marking, product safety (GPSR), REACH, RoHS, labelling, packaging and any import licences or quotas. We help request and check documents from suppliers, but we don't certify products or act as a notified body.
  • Make sure the designs, brands and materials you send us don't infringe anyone else's rights.

7. Our responsibilities

  • We work with the care of a diligent professional, and we tell you openly when a project doesn't make sense.
  • We keep you updated on timelines, costs and any problems.
  • We choose and supervise suppliers and inspectors carefully, but we don't control their operations and can't guarantee their performance.
  • Quality inspections check a sample of the goods against agreed criteria (e.g. AQL). They reduce risk but can't detect every defect.

8. Goods, delivery and defects

  • Delivery terms follow the Incoterms® 2020 rule named in the offer. Delivery dates are estimates unless we expressly agree a fixed date.
  • In the transparent model, the purchase contract is between you and the factory. In the all-in-one model, ownership and risk pass to you as set by the agreed Incoterms rule.
  • Inspect the goods on arrival and report visible defects without delay, and no later than 8 days after delivery. Report hidden defects as soon as you find them. Include photos and a description.
  • If goods are defective, we help you pursue replacement, repair, a discount or a refund from the manufacturer.

9. Liability

For any one engagement, our total liability is limited to the fees you paid us for that engagement. We are not liable for indirect or consequential loss, such as lost profit, lost sales or damage to reputation.

We are not liable for acts or omissions of manufacturers, carriers, customs or other authorities, beyond our own duty to select and supervise them with care.

These limits don't apply to damage we cause intentionally or through gross negligence, to injury to life, body or health, or anywhere else the law doesn't allow liability to be limited.

10. Force majeure

Neither party is responsible for delays or failures caused by events beyond its reasonable control. Examples include natural disasters, epidemics, war, sanctions, strikes, port closures, factory shutdowns ordered by authorities, and major disruptions to shipping. The affected party informs the other without delay, and deadlines are extended accordingly.

11. Confidentiality and intellectual property

  • Your designs, drawings, specifications and business information stay yours. We use them only for your engagement and share them with suppliers only as far as needed, under an NDA where appropriate.
  • Both sides keep each other's non-public information confidential, including prices, suppliers and volumes. This obligation continues after the engagement ends.
  • We won't name you as a client in our marketing without your permission.
  • Reports, calculations and supplier assessments we prepare are for your internal use.

12. Cancellation

  • You can cancel an engagement in writing at any time before mass production starts. You pay for the work done up to that point and for third-party costs already incurred or committed (e.g. samples, tooling, inspections).
  • Once production has started, the factory's terms apply. Deposits paid to a factory are often non-refundable.
  • Either party can end the engagement immediately if the other seriously breaches these terms and doesn't fix the breach within a reasonable period after a written warning.

13. Personal data

We process personal data as described in our Privacy Policy.

14. Changes to these terms

We may update these terms. The version in force when an engagement is agreed applies to that engagement. The date at the top shows the current version.

15. Governing law and disputes

These terms and all engagements are governed by Croatian law. The UN Convention on Contracts for the International Sale of Goods (CISG) does not apply.

We will first try to settle any dispute amicably. If that fails, the court with subject-matter jurisdiction in Zagreb, Croatia, has exclusive jurisdiction.

These terms are published in Croatian and English. If the two versions differ, the version in the language of the service agreement prevails, and otherwise the Croatian version.
